The General Counsel must also review and approve any amendment or modification of a trading plan and approve the early termination of any trading plan. The General Counsel maintains guidelines that all plans must meet in order to be considered for approval.

Management has no authority to approve services performed by EY that have not been pre-approved by the Audit Committee. The term of any pre-approval is 12 months from the date of pre-approval, unless the Audit Committee specifically provides for a different period. At each meeting of the Audit Committee, the current yearʼs previously pre-approved independent auditor fees along with any proposed revisions will be presented for approval.
